These Terms of Service ("Terms") are an agreement between you and Proofi ("Proofi," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you use Proofi for a company or other organization, you confirm that you can bind that organization to these Terms.
1. Eligibility and accounts
You must be at least 16 years old and legally able to enter into this agreement. You are responsible for the accuracy of your account information, activity under your account, and protecting access to the Google account used to sign in. Tell us promptly at support@proofi.co if you believe your account has been compromised.
2. The service
Proofi lets you collect or upload testimonials, organize them into projects, configure widgets, and embed those widgets on websites you control. We may improve, add, remove, or change features over time. We aim to keep the service available, but we do not promise uninterrupted or error-free operation.
3. Your content
You keep ownership of the testimonials, names, photos, logos, and other material you upload or connect to Proofi ("Customer Content"). You grant us a non-exclusive, worldwide license to host, copy, process, and display Customer Content only as needed to provide, secure, and maintain the service.
You represent and warrant that:
- you have the rights and permissions needed to use and publish Customer Content;
- you have obtained any consent required to publish a person's testimonial, name, likeness, or other personal information;
- Customer Content is accurate and is not misleading, unlawful, defamatory, or infringing; and
- your collection and use of testimonials complies with applicable advertising, privacy, and consumer-protection laws.
Content included in a published widget is intentionally available to visitors of the websites where you embed it. It may also be cached to make widgets load quickly. Removing content from Proofi will stop future publication after active caches expire.
4. Acceptable use
You may not use Proofi to:
- publish fabricated testimonials or impersonate another person or organization;
- upload malware, exploit the service, bypass limits, or interfere with other users;
- scrape, resell, or reverse engineer the service except where law expressly permits it;
- send spam or publish illegal, abusive, hateful, or deceptive material; or
- violate another person's intellectual-property, publicity, or privacy rights.
5. Third-party services and integrations
Proofi relies on third-party providers for functions such as authentication, hosting, and storage. Optional integrations may let you import content from other platforms. Your use of a third-party service remains subject to that provider's terms, and we are not responsible for changes, outages, or content controlled by that provider.
6. Proofi property
We and our licensors own the service, software, visual design, documentation, trademarks, and all related intellectual property, excluding Customer Content. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active and you follow these Terms.
7. Beta features and roadmap
Beta or preview features may be incomplete, change without notice, or be discontinued. Our public roadmap describes current direction and is not a promise that a feature will ship by a particular date or in a particular form.
8. Suspension and termination
You may stop using Proofi at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, or misuse the service. Where practical, we will provide notice and an opportunity to resolve the issue. After termination, public widgets may stop loading and we may delete Customer Content after a reasonable export period, subject to legal retention requirements.
9. Disclaimers
To the maximum extent permitted by law, Proofi is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any guarantee that testimonials or widgets will increase sales, conversions, or revenue. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
10. Limitation of liability
To the maximum extent permitted by law, Proofi will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability arising from the service will not exceed USD $100. These limits do not apply where liability cannot legally be limited.
11. Indemnity
If you use Proofi on behalf of a business, you will defend and indemnify Proofi against third-party claims arising from your Customer Content, your websites, or your violation of these Terms or applicable law, except to the extent the claim was caused by Proofi.
12. Changes to these Terms
We may update these Terms as the service or law changes. We will update the date above and provide reasonable notice of material changes. Continuing to use Proofi after an updated version takes effect means you accept the revised Terms.
13. General
If part of these Terms is unenforceable, the remaining terms stay in effect. Our failure to enforce a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, financing, reorganization, or sale of the service. Applicable consumer-protection law may give you rights that these Terms cannot limit.
